Leading Language Clause

This document is an English translation of the Dutch Terms and Conditions of AG Data & Automatisering.
In the event of any discrepancy or interpretation difference between the English and Dutch versions, the Dutch version shall prevail.

1. Definitions

In these terms and conditions, the following definitions apply:

Contractor: AG Data & Automatisering, gevestigd te Grootebroek, The Netherlands.
Client: any natural or legal person who enters into an agreement with AG Data & Automatisering.
Services: all activities, advice, automations, scripts, and analyses provided by AG Data & Automatisering.

2. Applicability

These terms and conditions apply to all quotations, assignments, agreements, and service deliveries by AG Data & Automatisering, unless explicitly agreed otherwise in writing.

3. Quotations and agreements

  • Quotations are non-binding and valid for 30 days, unless stated otherwise.
  • An agreement is concluded once the client has provided written, email, or digital approval.
  • Any changes to the assignment may affect planning or costs.

4. Execution of the assignment

  • AG Data & Automatisering will perform the assignment with due care and to the best of its knowledge and ability.
  • Services are provided on a best-effort basis, unless explicitly agreed otherwise.
  • The client shall provide all data and access required for proper execution in a timely manner.

5. Delivery and completion

  • Delivery times are indicative and not binding, unless explicitly agreed otherwise.
  • Delivery of software or automations is deemed complete once the solution functions in accordance with the agreed specifications.

6. Fees and payment

  • All prices are exclusive of VAT, unless stated otherwise.
  • Invoices must be paid within 14 days of the invoice date.
  • In the event of late payment, AG Data & Automatisering reserves the right to charge statutory interest and administrative costs.

7. Intellectual property

  • All rights to developed scripts, templates, and documentation remain the property of AG Data & Automatisering, unless agreed otherwise in writing.
  • The client is granted a right of use for the delivered files, exclusively for internal use.

8. Liability

  • AG Data & Automatisering is not liable for indirect damages, including consequential damages, loss of profit, or data loss.
  • Liability is limited to the invoice amount of the relevant assignment.
  • The client remains responsible for the final application and use of the delivered solutions.

9. Confidentiality

Both parties agree to maintain confidentiality regarding all confidential information shared during the cooperation.

10. Force majeure

In the event of force majeure (such as system failures, illness, or external system issues), AG Data & Automatisering has the right to temporarily suspend or reschedule the execution of the assignment.

11. Governing law

These terms and conditions are governed exclusively by Dutch law.
Any disputes shall be submitted to the competent court in the district of North Holland.
